Terms of Service

The agreement that governs your use of our services.

This Agreement sets out the terms governing your use of the services and products ("Services") provided by CheapWindowsVPS ("CheapWindowsVPS", "the Company", "we" or "us"). These Terms exist to protect the integrity, security, reliability and privacy of our facilities, network and customer data. By ordering, accessing or using the Services, you ("Customer", "you") agree to be bound by these Terms and our Acceptable Use Policy. No purchase or upgrade exempts you from these Terms. We may update these Terms at any time by posting the revised version on this page.

1. Term & billing

You select your billing cycle during the order process. All Services are prepaid and do not commit you to any contract length beyond the cycle you choose — you may renew or cancel at any time. Fees are due in advance of each service cycle and are billed on your anniversary date (the date your initial order was accepted), which also governs upgrades, one-time fees and cancellations.

2. Payment & verification

To comply with merchant gateway and anti-fraud requirements, we may request copies of identifying documents to approve and process a payment. Such information is transmitted over encrypted channels only and stored according to industry compliance standards. See our Privacy Policy for details.

3. Upgrades & account credit

Upgrades ordered on your anniversary date are billed for a full cycle; upgrades ordered at other times are pro-rated to your next anniversary date and billed as a one-time charge, with full fees applying thereafter. Service credits and "Add Funds" balances may be used only toward future CheapWindowsVPS Services; they are non-transferable, are not paid out as cash, and are not included in refund guarantees.

4. Support & managed scope

We aim to provide continuous support where appropriate. Our Services are primarily unmanaged: support covers issues that directly impede the operation of the Services we provide (such as hardware, network and operating-system faults). Individual third-party software packages and applications are not supported by the Company.

5. 72-Hour Money-Back Guarantee

If you are not satisfied with your VPS hosting service, we offer a 72-hour refund guarantee from the time of purchase. Invoices paid via Bitcoin or other irreversible payment methods are non-refundable. Refund requests may be denied at our discretion in circumstances including: non-usage of the Services; incompatibility of specific software; financial reasons; suspension due to a DoS/DDoS attack; suspension due to any violation of these Terms or our Acceptable Use Policy; force majeure; and other unforeseen personal circumstances.

Regardless of eligibility, the following are strictly non-refundable: software licenses; completed managed-support work; domain registrations, SSL certificates and security add-ons; and any setup, processing or other one-time fees. Approved refunds are returned to the original payment source or issued as account credit at your option.

6. Refunds, disputes & chargebacks

Except where the 72-hour guarantee applies, Services are non-refundable. To resolve a billing error, please open a billing ticket in the client area. You agree not to charge back payments for Services rendered; a chargeback will incur a $50 account fee and may be referred to a collection agency.

7. Non-payment & suspension

Payment is due in full on your anniversary date. Failure to pay within two (2) days of the anniversary date may result in suspension of public access to your Services; failure to pay within three (3) days may result in termination of customer data.

8. Acceptable Use Policy

You may not use the Services to engage in unlawful activity or to harm the Company, our network, or other customers. Prohibited activity includes, without limitation:

  • Spam / UCE — we have zero tolerance for unsolicited commercial email. You may not send UCE over our network, nor host content advertised via UCE from other networks.
  • Network & system security violations — accessing data or systems without authorization; probing, scanning or testing vulnerabilities or breaching security/authentication; interfering with service through overloading, flooding, mail-bombing or crashing; forging TCP/IP or email/header information; or obtaining services you are not entitled to.
  • Disrupting neighbouring customers, or sending or becoming the target of a DoS/DDoS attack.

Violations may result in immediate investigation and, at our sole discretion, restriction, suspension or termination of your account with no refund. We may notify and cooperate with law enforcement where a violation may be a criminal offense.

9. Suspension & termination

We may suspend or terminate network access if, in our reasonable judgment, your Service is the source or target of an attack, violates these Terms or our Acceptable Use Policy, or for other valid reasons. We typically suspend only the offending Service but may suspend all Services without prior notice. Time during suspension is not credited, and we reserve the right to decline an order or renewal.

10. Backups & data loss

Your use of our servers and Services is at your sole risk. While complimentary backups may be provided, you are solely responsible for maintaining your own backups of data on your VPS or hosting account. We are not responsible for files or data hosted on your server.

11. Confidentiality

Each party may have access to the other's confidential business information. Both parties agree not to use or disclose such information for any purpose outside this relationship and to take reasonable precautions to protect it. This obligation survives termination of this Agreement.

12. Limitation of liability

Except as set out in any applicable SLA, we are not liable for harm related to your Services or inability to use them unless caused by gross negligence or willful misconduct. Neither party is liable for lost profits or for indirect, special, incidental, consequential or punitive damages. Our maximum aggregate liability under any theory of law will not exceed the amount you paid for hosting services in the thirty (30) days before the event giving rise to the claim.

13. Indemnification

Each party agrees to indemnify and hold the other (and its affiliates, officers, directors, agents and employees) harmless from third-party claims arising out of the indemnifying party's actual or alleged infringement or misappropriation of a third party's intellectual-property or proprietary rights.

14. Governing law & arbitration

You agree to comply with all applicable local, provincial and federal laws. This Agreement is governed by the laws of the Province of Ontario, Canada. Any controversy or claim arising from the Services or this Agreement in excess of $1,000 shall be settled by mutually agreed-upon arbitration, and the arbitrator's decision shall be final and binding and may be entered in any court of competent jurisdiction.
